STANDARD TERMS AND CONDITIONS OF SALE

1. Agreement to Terms

By scheduling, subscribing to, receiving, or paying for any service or product from Solutions By Maya LLC and SBMGO.org, or by communicating with Maya J. Irizarry, MBA, or her team, you acknowledge that you have read, understood, and voluntarily agree to these terms and conditions.

These terms are binding unless an alternative agreement is negotiated and confirmed in writing by Solutions By Maya LLC.

2. Appointments & Cancellations

  • Rescheduling: A minimum of 24 hours' notice is required to reschedule an appointment.
  • Monthly Engagements: Any modifications to a monthly service engagement must be submitted in writing with at least 30 days' notice.
  • Cancellation Policy: A minimum of 60 days' written notice is required to cancel an engagement. If an engagement is canceled without the required notice, a cancellation fee will apply. The cancellation fee is equal to two and half times the monthly service fee unless otherwise specified in your service agreement.  

3. Payments

  • Non-Refundable Purchases: All purchases are non-refundable unless a specific refund policy is provided in your service agreement or invoice.
  • Transaction Fees: The client is responsible for all transaction fees. These fees are based on the payment method and will be added to the total invoice amount:
    • Credit or debit card: 2.9% + $0.30 per transaction
    • Cash App Pay: 2.9% + $0.30 per transaction
    • ACH bank transfer: 1.0% (minimum $1 per transaction)
  • Payment Agreement: By submitting payment, you agree to all terms outlined in your invoice. All consultations, coaching sessions, and events must be scheduled and paid for according to the terms specified.
    • The client is responsible for maintaining a valid credit card on file. If the credit card cannot be processed, the client will be notified to resolve the issue. 
    • After 30 days of non-payment, support services will be suspended and a $300 reactivation fee will apply.

  • Assessment Tools: By purchasing licenses for our assessment tools, each sales price is per 1 unit license issued. 
    • All payments are required in full and in advance for the selected quantity of licenses, with unique assessment links delivered to the provided email upon successful processing. 
    • We strongly recommend clients test these links promptly upon receipt and review the generated reports immediately upon issuance, reporting any concerns regarding link functionality or report accuracy within [Specify timeframe, e.g., 48 hours] of delivery or issuance for investigation. 
    • Each license grants access to one assessment, with a comprehensive report typically available within [Specify timeframe, e.g., immediately, within 24 hours] after completion. 
    • All sales of assessment tool licenses are final, and we do not offer refunds, exchanges, or credits due to the immediate access to digital products, regardless of link usage or assessment completion. 
    • You are responsible for the proper distribution and use of these links within your organization.

4. Intellectual Property

All materials provided by Solutions By Maya LLC are protected intellectual property, including but not limited to reports, assessments, presentations, and coaching materials. These materials may not be published, shared, distributed, or archived without prior written permission. Social media sharing is permitted only with proper attribution to Maya J. Irizarry, MBA, and Solutions By Maya LLC.

5. Change Orders

If additional time is required for specific deliverables, the client will be notified and must approve any changes before execution.

6. Warranty Disclaimer & Limitation of Liability

  • Not a Substitute for Professional Advice: Solutions By Maya LLC and SBMGO.org do not provide legal, financial, or other licensed professional advice. The information and strategic guidance shared are for business development and insight purposes only. Clients are encouraged to seek assistance from licensed professionals for legal, financial, or other professional matters.
  • Assumption of Risk: Any exercises, tools, techniques, or suggestions provided by Maya J. Irizarry, MBA, are to be used at your own discretion and risk. You assume full responsibility for your actions and any outcomes resulting from our services.
  • Limited Liability: To the maximum extent permitted by Florida law, Solutions By Maya LLC, its affiliates, employees, and agents are not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services, including but not limited to lost profits, data, or business interruption.
  • Indemnification: You agree to indemnify, defend, and hold harmless Solutions By Maya LLC, its affiliates, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the services, your violation of these terms, or any action you take based on the guidance provided.
  • Solutions By Maya LLC makes no warranty, express or implied, regarding the merchantability, quality, functionality, or performance of any third-party software.
  • Solutions By Maya LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to service interruption, data loss, business disruption, or loss of profits—even if advised of such possibilities.

7. Governing Law

These terms and conditions are governed by the laws of the State of Florida. Any legal action or proceeding relating to your access to or use of the services shall be instituted in a state or federal court in Broward County, Florida.

8. Additional Terms

  • Late payments may incur 1.5% monthly interest (18% annually) on overdue balances.
  • Client agrees to pay all reasonable legal and collection fees incurred in recovering past-due payments.
  • All services and deliverables remain the property of Solutions By Maya LLC until paid in full.
  • Returned checks are subject to a $35 processing fee.

Service Delivery

Solutions By Maya LLC reserves the right to pause service on accounts past due by 30 days or more.

Any billing disputes must be submitted in writing within 5 business days of invoice receipt.
